1. Introduction and Integration

These Terms of Sale ("Sales Terms"), together with our Terms of Service, Privacy Policy, and Shipping, Returns & Refunds page, govern all purchases of products from Monavie Blends LLC ("Monavie," "we," "us," or "our") through our Website. By placing an order, you agree to be bound by these Sales Terms.

2. Ordering and Contract Formation

• Order as an Offer: Your placement of an order constitutes a binding offer to purchase products under these Sales Terms. All orders are subject to acceptance by Monavie.
• Order Acceptance: Acceptance occurs, and a legally binding contract is formed, only when we send an order confirmation email detailing the items ordered.
• Email Delivery and Whitelisting: We are not responsible for confirmation emails that are filtered into junk or spam folders. To ensure delivery, please whitelist the `@monavie.com` domain prior to placing your order.

3. Shipping Addresses and Delivery Options

• Shipping Destinations: We currently ship to commercial and residential addresses, including P.O. boxes, within the 48 contiguous United States, Alaska, and Hawaii.
• Restrictions: Priority and expedited shipping methods are not available for P.O. boxes, Alaska, or Hawaii. We do not ship to APO/FPO/DPO addresses, international locations, or U.S. territories and protectorates.
• Customer-Provided Labels: In specific circumstances and upon prior arrangement, we may permit you to provide your own prepaid shipping label. Risk and responsibility for third-party label logistics remain subject to carrier terms.

4. Returns and Refunds Policy

• 30-Day Return Window: Monavie maintains a 30-day return policy. The return window begins on the date the item or items are marked as delivered by the carrier, and includes weekends.
• Condition of Return: Products must be returned in a condition materially identical to how they were received, unopened, and in their original packaging where applicable.
• Restocking Fee: A restocking fee of up to 15% may apply. The restocking fee is waived for defective items, incorrectly shipped items, and errors in the site description.
• Shipping Costs: Original and return shipping costs are generally non-refundable. Where Monavie is at fault — for example a defective item, an incorrect item, or an error in the site description — and your return request is made within the 30-day return period, we will cover return shipping costs when UPS Ground is used.

5. Payment Methods, Authorization, and Security

• Accepted Payment Types: We accept major credit and debit cards, including Visa, MasterCard, Discover, and American Express.
• Processing and Authorization: Your card will be charged when your order is processed. If payment authorization is declined, delayed, or placed on hold by your financial institution or merchant processor, Monavie shall not be liable for any delay, non-fulfillment, or cancellation of your order.
• Payment Storage Authorization: By submitting payment information, you authorize Monavie and our secure third-party payment processors to store your payment credentials and process transactions to facilitate your purchases and recurring subscriptions.

6. Order Cancellations and Modifications

Once an order is submitted, our fulfillment systems prioritize prompt processing and shipping. Consequently, we cannot guarantee changes or cancellations. While we will make reasonable commercial efforts to accommodate your request, modifications cannot be guaranteed once fulfillment has commenced.

7. Discounts, Promotions, and Coupon Codes

From time to time, we may offer promotional codes, sales, discounts, or special offers. These promotions are subject to specific terms and conditions provided at the time of the offer. Monavie reserves the right to modify, suspend, or cancel any promotion at any time without prior notice.

8. Pricing and Taxes

• Currency and Exclusions: All prices are listed in U.S. dollars and exclude applicable taxes and shipping charges unless explicitly noted otherwise.
• Price Modifications: Prices are subject to change without notice; however, price changes will not affect orders that have already been accepted via our confirmation email.
• Sales Tax: Applicable sales tax is calculated based on the designated shipping address and will be added during checkout in accordance with state and local tax regulations.

9. Auto-Renewal Programs ("Subscribe and Save")

If you choose to enroll in our recurring auto-renewal program:

• Continuous Billing: Your subscription will remain in effect and renew automatically until you choose to cancel it.
• Notifications and Charges: You will receive automated reminder email notifications prior to each recurring shipment. Your chosen payment method will be charged automatically for the product price, applicable taxes, and shipping fees.

Cancellations take effect for shipments not yet processed; a renewal order already in fulfillment is subject to Section 6.

10. Price and Description Errors

While we strive for accuracy, human or technical errors regarding product descriptions, pricing, or inventory availability may occasionally occur. Monavie reserves the right to correct any such errors, update information, and refuse, limit, or cancel any orders placed based on inaccurate information.

11. Title and Risk of Loss

Purchases of physical goods are made pursuant to a shipment contract. Title and risk of loss for all products pass to you upon delivery of the items to the shipping address provided at checkout. Monavie is not responsible for lost, damaged, or stolen packages after confirmed delivery by the carrier, though we will assist reasonably in filing claims with shipping carriers where applicable.

12. Reserved Rights

Monavie reserves the right, at our sole discretion, to refuse any order, limit purchase quantities, or discontinue any product without prior notice. We reserve the right to limit, restrict, or prohibit orders that appear to be placed by unauthorized dealers, commercial resellers, or distributors.

13. Governing Law and Dispute Resolution

These Sales Terms are governed by the laws of the State of Florida, without regard to conflict of law principles. The dispute resolution provisions in Section 12 of our Terms of Service — including binding arbitration, the class action waiver, the jury trial waiver, and the 30-day opt-out — apply to any dispute arising out of or relating to these Sales Terms or any purchase made through the Website.
